The equity and the control are held by different people.
OpenAI publishes its own structure page, and the arrangement it describes is unusual enough to be worth reading carefully. OpenAI was founded in 2015 as a nonprofit; in 2019 it created a for-profit subsidiary to raise capital. On 28 October 2025 that arrangement was recapitalised: the nonprofit became the OpenAI Foundation and the for-profit became OpenAI Group PBC, a public benefit corporation that is — in OpenAI's words — "required to advance its stated mission and consider the broader interests of all stakeholders".
The equity split at closing: the OpenAI Foundation holds 26%, worth approximately $130 billion at the Group's valuation at the time; Microsoft holds roughly 27%; the remaining 47% sits with current and former employees and investors. The Foundation also holds a warrant that pays out significant additional equity if the Group's share price rises more than tenfold within 15 years.
The control does not follow the equity. Through special voting and governance rights held solely by the Foundation, it appoints all members of the OpenAI Group board and can replace them at any time. So the single largest equity holder — Microsoft, at about 27% — has more stock than the Foundation and none of its governance power. That is the fact most "who owns ChatGPT" answers get wrong by reporting only the percentages.
The Foundation's board is named publicly: Bret Taylor (Chair), Adam D'Angelo, Dr Sue Desmond-Hellmann, Dr Zico Kolter, Retired U.S. Army General Paul M. Nakasone, Adebayo Ogunlesi and Nicole Seligman, plus CEO Sam Altman. The Safety and Security Committee remains a committee of the Foundation, chaired by Dr Kolter.

No. OpenAI is the company; ChatGPT is one of its products. The same company also sells API access to its models, the Codex coding agent, and — until its announced shutdown — Sora.
The distinction is not pedantry, because the products have different terms. Content from ChatGPT Business, Enterprise and the API platform is not used to train models by default; content from personal ChatGPT accounts may be, unless you opt out. Same company, different defaults, depending on which door you came in through.
No, and the answer is more interesting than a flat denial. Microsoft is the largest single equity holder at roughly 27% — more stock than the nonprofit that controls the company — and has backed OpenAI since 2019. But equity is not control here: the Foundation appoints and can replace every director of OpenAI Group.
